Director Service
Companies Office Limited provides a
reliable and secure ‘Resident Director’ service by appointing
a person when other Directors and Shareholders of the company are resident
abroad. Resident Director will not be the only Director of the company.
If you are looking for a service where you do not want to be a director,
but stay annonymous, you should choose Nominee
Director Service.
‘Resident Director’ will
NOT run the company, NOR will make any decisions for
the company but shall only perform the following duties on behalf of
the company.
Service includes:
1. Opening and operating Bank account/s
on behalf of the Company, but only as a second signatory. (Compnay's
other director/s, resident aborad may be) must be the primary signatory
on the bank account.)
2. Attending meetings with the Bank, Inland Revenue, H.M. Customs &
Excise, Accountants and any other business meeting on behalf of the
Company,
3. Taking care of responsibilities of Resident Director to ensure that
statutory documents are delivered to the Registrar of Companies as and
when required by the Act. In particular:

Submission of accounts,

Submission
of annual returns (Form 363),

Submission
of VAT returns,
-
Submission of notice/s of change
of directors or secretaries or in their particulars (Forms 288a/b/c);
and notice of change of Registered Office (Form 287).
Note: Responsibilty of preparing and
accuracy of the above documents remains with the company.
Acting as a Director is a serious undertaking
in British Law. A Company or an individual providing this service undertakes
certain responsibilities, failure to fulfil these responsibilities may
result in prosecution and disqualification and being barred from acting
as director for a UK company again.
In
very special circumstances our company will act as a Resident director
of your company.

we shall ensure:
- High degree
of privacy and confidentiality,
- Resident Director
will attend all essential meetings with the Bank, Inland Revenue,
H.M. Customs & Excise, Accountants and other meeting on behalf
of the Company,
- Resident Director
will NOT be responsible NOR will make any decisions whatsoever in
the management of your company.
- Resident Director
will only sign company accounts and annual returns on behalf of
the Company, if prepared and certified by the accountants of the
company.
- Beneficial
owner will be fully responsible to pay (on demand) all costs for
attending above meeting on behalf of the company.
- The quoted
in the price list include only 4 meetings in one year, all addtional
time will be charged as given in the price list applicable at that
time.
N.B. Our recommended company will be appointed as company accountants.
